Terms of Service

1. About These Terms

1.1 These Terms of Service ("Terms") govern your access to and use of the Tocka platform, including the website at tocka.app, the progressive web application, and all related services (together, the "Service").

1.2 The Service is operated by Tocka Ltd, a company registered in England and Wales (company number 17125457), whose registered office is at 2, Frederick Street, Kings Cross, London, WC1X 0ND ("we", "us", "our").

1.3 By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, you must not use the Service.

1.4 We may update these Terms from time to time. We will notify you of material changes by email or through the Service. Your continued use after notification constitutes acceptance of the updated Terms.

2. The Service

2.1 Tocka is a platform for organising recreational sports activities. It provides tools for managing player availability, balancing teams, recording results, tracking player ratings, and collecting payments for games.

2.2 The Service is provided as a progressive web application (PWA) and any associated mobile applications. We do not guarantee compatibility with all devices, browsers, or operating systems, though we aim to support current versions of major browsers.

2.3 We may modify, suspend, or discontinue any part of the Service at any time. Where reasonably practicable, we will give advance notice of significant changes.

3. Your Account

3.1 You must create an account to use the Service. You must provide accurate information during registration and keep your account details up to date.

3.2 You are responsible for maintaining the security of your account and for all activity that occurs under it. You must notify us immediately if you become aware of any unauthorised use.

3.3 You must be at least 13 years old to create an account. If you are aged 13 to 15, you must have the consent of a parent or guardian to use the Service. We collect year of birth during registration to verify eligibility.

3.4 Payment features are restricted to users aged 16 and over, or where an adult's payment method is used with their consent.

3.5 We may suspend or terminate your account if you breach these Terms, or if we reasonably believe your account is being used fraudulently or in a manner that may harm other users or the Service.

4. Groups and Organisers

4.1 The Service allows users to create and manage groups for organising games. The person who creates a group is the group organiser ("Organiser").

4.2 Organisers are responsible for the management of their group, including setting game details, managing the player list, and administering payments within the group.

4.3 Tocka provides the tools; the Organiser makes the decisions. We do not control or take responsibility for the decisions made by Organisers, including team selection, game scheduling, or payment amounts.

4.4 Organisers must ensure that their use of the payment features complies with these Terms and applicable law.

5. Payments

5.1 The Service includes payment collection features powered by Stripe. When an Organiser enables payments for a game, players may be charged for their participation.

5.2 Payment amounts are set by the Organiser, not by Tocka. We are a platform facilitating the transaction, not a party to the arrangement between Organiser and player.

5.3 We charge a platform fee on each payment transaction. The applicable fee is displayed before the payment is processed.

5.4 Player credits. Where a player is owed a refund (for example, due to a cancelled game), the default mechanism is a credit to the player's balance within the Service. This credit can be applied to future game payments. Stripe refunds to the original payment method are available in limited circumstances, such as when a player is permanently leaving the platform.

5.5 Organiser responsibility. The Organiser is responsible for refunds or credits arising from games they organise, including cancelled or rescheduled games. Where a refund or credit is owed and the Organiser's Stripe balance is insufficient, Tocka may deduct the outstanding amount from the Organiser's future payouts.

5.6 Stripe's own terms of service apply to all payment transactions. By using the payment features, you agree to Stripe's terms, available at stripe.com/legal.

5.7 We are not responsible for any failure in payment processing caused by Stripe, your bank, or your payment method provider.

6. Player Ratings and Data

6.1 The Service assigns and maintains player ratings based on game results, Player of the Match votes, and other factors. These ratings are used to balance teams fairly.

6.2 Ratings are generated algorithmically and are not a definitive assessment of a player's ability. They are intended to improve the quality of games, not to rank or judge individuals.

6.3 Your rating may be visible to other users within your group(s) and, if you opt in to discovery features, to users outside your group(s). You can control your visibility settings in your account.

7. AI Features

7.1 The Service includes AI-powered features, including team balancing suggestions, match predictions, and post-game analysis. These features are provided for entertainment and convenience purposes and should not be relied upon as accurate predictions or definitive assessments.

7.2 AI-generated content is produced by third-party language models. We do not guarantee the accuracy, completeness, or appropriateness of AI-generated content.

8. Acceptable Use

8.1 You agree to use the Service only for its intended purpose: organising and participating in recreational sports activities.

9. Intellectual Property

9.1 All intellectual property rights in the Service, including the software, design, algorithms, rating systems, and content (other than user-generated content), belong to Tocka Ltd or our licensors.

9.2 We grant you a limited, non-exclusive, non-transferable licence to use the Service for your personal, non-commercial purposes in accordance with these Terms.

9.3 You retain ownership of any content you submit to the Service (such as group names, descriptions, or photos). By submitting content, you grant us a worldwide, royalty-free licence to use, display, and distribute that content as necessary to provide the Service.

10. Limitation of Liability

10.1 The Service is provided on an "as is" and "as available" basis. We do not warrant that the Service will be uninterrupted, error-free, or free from viruses or other harmful components.

10.2 To the fullest extent permitted by law, we exclude all warranties, conditions, and representations, whether express or implied, including any implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

10.3 Our total liability to you for any claim arising out of or in connection with the Service shall not exceed the greater of (a) the amount you have paid to us in the 12 months preceding the claim, or (b) £50.

10.4 We are not liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill.

10.5 Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded by law.

10.6 We are not responsible for any injury, loss, or damage arising from your participation in any sports activity organised through the Service. You participate at your own risk.

11. Disputes Between Users

11.1 Tocka is a platform. We are not a party to any agreement between Organisers and players, and we are not responsible for resolving disputes between users.

11.2 If you have a dispute with another user, you should attempt to resolve it directly with them. We may, at our discretion, provide tools or assistance to help resolve disputes, but we are under no obligation to do so.

12. Termination

12.1 You may close your account at any time by contacting us or using the account settings in the Service.

12.2 We may suspend or terminate your account or access to the Service at any time, with or without cause, with or without notice. We will try to give reasonable notice where practicable.

12.3 On termination, your right to use the Service ceases immediately. Any outstanding payment obligations survive termination. Any player credit balance remaining at the time of account closure will be refunded in accordance with our refund policy.

12.4 We will handle your personal data after termination in accordance with our Privacy Policy and applicable data protection law.

13. General

13.1 Governing law. These Terms are governed by the laws of England and Wales.

13.2 Jurisdiction. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.

13.3 International use. The Service is available to users worldwide. Regardless of where you access the Service from, these Terms are governed by English law and disputes are subject to English jurisdiction. We make no representation that the Service is appropriate or available for use in any particular location.

13.4 Entire agreement. These Terms, together with our Privacy Policy, constitute the entire agreement between you and us regarding the Service.

13.5 Severability. If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

13.6 Waiver. Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.

13.7 Assignment. You may not assign your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations without restriction.
